These terms govern your participation in the Do Nothing LMS Referral Programme (the "Programme") operated by Do Nothing Marketing ("Do Nothing", "we", "us"). By generating, sharing or using a referral link, you confirm that you have read, understood and agreed to these terms. If you do not agree, please do not take part in the Programme.

1. Who can take part

• You must be at least 18 years old and a resident of India.
• You must provide your real name and a valid Indian mobile number to generate a referral code.
• To receive rewards you must hold a valid UPI ID or Indian bank account in your own name, and provide a PAN where required for payout.
• Employees of Do Nothing and their immediate family may participate but are not eligible for cash rewards, unless we state otherwise in writing.

2. How the Programme works

To take part, visit the referral page at donothing.co.in/app/referral/ and enter your name and phone number to generate your unique referral code. Your code is formed from the first letters of your name and the last four digits of your phone number.

Share your referral code with coaching institutes, training centres, schools and their owners or decision makers who could benefit from Do Nothing LMS. The institute claims your code by entering it in the enquiry or demo form on our website when they submit their details.

When an institute you referred claims your code and later becomes a paying customer, you can earn a reward of up to ₹5,000, as set out in these terms. You are responsible for how and where you share your referral code.

3. What counts as a valid referral

• The referred institute must be new to Do Nothing and not already an existing customer, an active lead, or in an ongoing sales conversation with us at the time of the referral.
• The institute must reach us through your referral link, or clearly name you and your code when they enquire.
• Self-referrals are not allowed. You cannot refer your own institute, your own accounts, or sign up using your own referral link.
• The institute must become a paying customer with genuine, verifiable details, as described in the Rewards section below.

4. Rewards

You earn a referral reward only when your referred institute becomes a paying customer, that is, when the institute pays us an advance or the full project amount and starts their project with us.

There is no limit on the number of institutes you may refer. A reward is credited only after we confirm that the institute has made payment and started the project. Reward amounts may be updated from time to time, and the amount in force at the time the institute makes payment will apply.

5. Attribution and link validity

• When an institute opens your link, your code is stored on their device for an attribution window of 30 to 60 days. If they sign up within that window, the referral is credited to you.
• If more than one referrer is involved, the referral is credited to the most recent valid referral link used before the institute signs up, unless we decide otherwise in good faith.
• Referral links may carry an expiry date. Once a link expires, clicks on it may no longer be attributed to you.
• We track clicks, sign-ups and conversions to confirm rewards. Our records are the final basis for deciding whether a referral qualifies.

6. How rewards are paid

• A reward is confirmed only after we receive the referred institute's advance or full payment and the project has started with us.
• Once confirmed, your reward is paid within 10 working days of the institute's payment being received by us.
• Payouts are made to your registered UPI ID or bank account, after any verification we consider necessary.
• You are responsible for giving us correct payout details. We are not liable for payments sent to incorrect details provided by you.

7. Taxes

Rewards may be subject to tax deducted at source (TDS) and other taxes under Indian law. Where required, we will deduct applicable TDS before payout, and you may need to provide your PAN. You are responsible for reporting and paying any taxes due on rewards you receive.

8. Fair use and misuse

To keep the Programme fair, the following are not allowed and may lead to withheld or reversed rewards and removal from the Programme:

• Fake, incentivised or self-created sign-ups, or entering false institute details.
• Spam, misleading claims about Do Nothing, unsolicited bulk messaging, or sharing links through prohibited channels.
• Bidding on Do Nothing brand terms in paid advertising, or impersonating Do Nothing.
• Any attempt to game, automate or manipulate tracking, clicks or milestones.

We may withhold rewards while we investigate suspected misuse, and we may reverse rewards linked to referrals that are later found to be invalid, cancelled or refunded.

9. Changes and ending the Programme

We may change, pause or end the Programme, or update these terms, at any time. Where reasonable we will give notice on this page or through our usual channels. Continuing to use your referral link after a change means you accept the updated terms. Rewards already confirmed before a change will be honoured.

10. Liability

The Programme is provided on an "as is" basis. To the extent permitted by law, Do Nothing is not liable for any indirect or consequential loss arising from the Programme, and our total liability for any claim relating to the Programme is limited to the value of the confirmed rewards owed to you.

11. Your data and privacy

We collect and process the name, phone number and payout details you provide, and information about referrals you generate, to run the Programme. We handle this data in line with our Privacy Policy and applicable Indian data protection law. By taking part, you consent to this use of your information.

12. Governing law

These terms are governed by the laws of India. Any dispute relating to the Programme is subject to the exclusive jurisdiction of the courts at Delhi, India.
